Why LLP Registration in India beats a plain partnership
Limited Liability
Partners' personal assets stay out of reach of business debts and liabilities — the core reason people move off a plain partnership firm.
Separate Legal Identity
An LLP can own property, sign contracts, sue, and be sued entirely in its own name — not the partners' names.
Lighter compliance
No mandatory board meetings and far fewer ROC filings each year than a private limited company needs.
Tax-friendly structure
There's no Dividend Distribution Tax — profit paid out to partners is tax-free at the entity level.
Just 2 partners minimum
Only two partners are needed to start, and at least one of them has to be an Indian resident.
No minimum capital
There's no floor on starting capital — begin with whatever amount the partners agree makes sense.
The filing sequence
LLP Registration in India: the 6-step process, in order
01
Get a Digital Signature Certificate (DSC)
Every designated partner needs one to sign MCA forms online. Apply with PAN, Aadhaar, and a photo — a Class 3 DSC is required for LLP filings.
02
Apply for DPIN / DIN
Each designated partner also needs a Designated Partner Identification Number, filed via DIR-3 — or bundled directly into the FiLLiP form in step four.
03
Reserve Your LLP Name (RUN-LLP)
Submit two proposed names through the RUN-LLP form. An approved name stays valid for 90 days — avoid generic words and check the MCA's existing-name database first.
04
File Form FiLLiP — the actual incorporation
This is the core filing: partner details, capital contribution, and consent forms, certified by a CA, CS, or advocate. On the MCA V3 portal, DIN allotment, name approval, and incorporation are handled in one form, with PAN and TAN issued automatically.
05
Draft and file the LLP Agreement (Form 3)
Due within 30 days of incorporation, printed on stamp paper (the duty varies by state). It covers profit sharing, partner rights and duties, and how disputes get resolved.
06
Open a bank account, register for GST, and go live
Open a current account with your Certificate of Incorporation, LLP PAN, and Agreement. Register for GST if your turnover requires it — at that point, your LLP is fully operational.
